The Head of Legal is responsible for leading and strengthening the company's legal, regulatory compliance, corporate governance, and enterprise risk management framework. This role serves as a strategic advisor to the Leadership Team, supporting accelerated growth across retail expansion, e-commerce, commercial partnerships, technology investments, and operational excellence, while ensuring full compliance with applicable laws and regulations.

Job Description

  • Corporate governance & strategic advisory: Act as a trusted legal partner to the senior leadership team, supporting board and shareholder matters, governance structures, and corporate compliance. Lead legal aspects of strategic initiatives including fundraising, investments, partnerships, and M&A, while developing scalable governance frameworks suited to a fast-growing business and balancing risk with commercial agility.
  • Commercial & operational legal leadership: Take full ownership of all commercial legal matters, including drafting, reviewing, and negotiating a wide range of contracts across suppliers, distribution, e-commerce, partnerships, logistics, and technology. Provide ongoing legal support to merchandising, sourcing, and operations teams on product compliance, labeling, consumer protection, and promotional activities, ensuring seamless legal coverage across omni-channel operations.
  • Regulatory & licensing management: Oversee all regulatory, licensing, and legal administrative activities across a nationwide retail footprint. Manage business registrations, operational permits, product approvals, and compliance filings, while working closely with authorities and regulators. Ensure all products, advertising, and promotions meet legal requirements, and proactively monitor regulatory changes to guide the business on evolving compliance obligations.
  • Intellectual property & brand protection: Lead the development and management of enterprise-wide IP strategy, including trademark protection, portfolio management, licensing, and anti-counterfeit enforcement. Safeguard brand assets, private-label products, digital content, and proprietary information, while establishing governance processes for brand usage, marketing claims, and marketplace activities. Collaborate cross-functionally to identify and mitigate IP risks and ensure consistent brand protection standards.
  • Disputes, risk & compliance: Manage all litigation, disputes, and regulatory investigations, protecting the company's interests in dealings with courts, authorities, and external counsel. Provide strategic legal advice and risk assessments across business operations, investments, and projects. Develop and implement legal policies, controls, and frameworks to strengthen enterprise risk management, while promoting a strong culture of compliance and legal awareness across the organization.

The Successful Applicant

  • Bachelor's degree in law (mandatory), Lawyer Practicing Certificate preferred and/or master's degree in legal/business is an advantage.
  • 12-15+ years of legal experience and at least 5 years in managerial role with proven records working in Large Retail chains/FMCG/Consumer Goods/e-commerce/Fast-growth business.
  • Experience supporting multi-site operations and rapid business scaling.
  • Experience working with investors, board members, and senior executives.
  • Experience working with government authorities and managing complex regulatory or reputational matters preferred.
  • Proven experience in compliance training, conducting audits, and resolving legal issues in a business environment.
  • Be able to analyze complex issues, make sound judgments and propose different solutions,
  • Strong knowledge of advertising laws, promotions, consumer protection, corporate governance, Retail store activities and licensing processes.
