The Legal Counsel will act as a key member of the APAC Legal team and provide legal support to all business and manufacturing units in Vietnam, as well as across the wider APAC region. The Legal counsel will work closely with senior members of the team based in the company's offices in Ho Chi Minh City or Hanoi and report to the Legal Manager in Singapore.

Job Description

Legal Support

  • Work closely with business units and cross-functional departments on a broad range of legal matters.
  • Review, interpret, and advise on relevant local laws across APAC, including court rulings, policies, and practices.
  • Draft, review, and negotiate contracts and legal documents, including channel partner agreements, distributorship agreements, service agreements, legal notices, and others.
  • Provide advice on regulatory matters and strategic issues, supporting the maintenance of a strong compliance framework across the business.
  • Advise on legal and ethical considerations arising from day-to-day business activities, including supporting negotiations with customers, vendors, and other stakeholders.
  • Manage claims involving the business and support preparation for litigation or arbitration, including liaising with regulators, internal stakeholders, and external counsel.
  • Develop strategies to mitigate legal risks in areas such as product development and marketing, working closely with internal teams and regional legal counterparts to ensure effective implementation.
  • Prepare standard contract templates and guidance materials, and establish and maintain a legal database for entities across APAC.



Compliance and Risk Management Support

  • Assist with investigations into employee misconduct and broader non-compliance matters.
  • Develop and deliver training on risk management and compliance topics such as anti-fraud, anti-cartel, anti-corruption, contract management, and corporate governance.
  • Create and distribute awareness materials, including email updates, posters, leaflets, and ethics guidance tools.
  • Conduct risk analysis across APAC and support the implementation of mitigation strategies for critical risks.
  • Participate in and facilitate meetings with risk managers across different business units.
  • Support the operation of systems related to export control and personal data protection.



Project Support

  • Support the Legal and Risk function on various projects from a legal and risk management perspective.



Collaboration

  • Collaborate with business units and departments across the Asia Pacific region (excluding Japan, China, and Korea) on legal and risk management initiatives.
  • Contribute to global legal and risk management projects led at the corporate level.
  • Drive innovation in risk management and compliance through the use of technology, including IT tools, AI, gamification, and behavioural economics approaches.

The Successful Applicant

Essential

  • Degree in Law from a premier law school.
  • 3-5 years of experience in a leading law firm, corporate legal department or a blend of both.
  • Experience of drafting contracts, rules, legal opinions, notice letters and/or other formal documents.



Desirable

  • Experience of due diligence or internal investigation to misconducts.
  • Experience in managing dispute resolution.
  • Experience of working as in-house counsel with a large multi-national organization.



Essential Skills and Knowledge

  • Fluency in English.
  • Strong communication skills.
  • In-depth knowledge and understanding of laws/regulations or system of compliance, risk management or Governance.
  • Good in MS Word, Excel and PowerPoint.
