We are seeking an experienced Mid-Level Associate to join its Corporate, M&A and Commercial practice in Vietnam. The successful candidate will work closely with foreign investors on complex corporate, M&A, investment, and commercial matters.

Job Description

  • Advise domestic and international clients on complex M&A, corporate, and commercial transactions.
  • Lead and coordinate legal due diligence exercises.
  • Draft and negotiate transaction documents, commercial agreements, and legal memoranda.
  • Manage transactions across a broad range of sectors, including consumer goods, manufacturing, services, pharmaceuticals, banking and finance, energy, real estate, construction, and project finance.
  • Represent clients in negotiations and discussions with counterparties, regulatory authorities, and other stakeholders.
  • Conduct legal research and provide practical commercial advice.
  • Prepare client updates, legal publications, and presentation materials.
  • Support business development initiatives and client relationship management.
  • Mentor, coach, and develop junior lawyers within the team.

The Successful Applicant

  • Graduate from Ho Chi Minh City University of Law, University of Economics and Law (HCMC), Hanoi Law University, or the Diplomatic Academy of Vietnam (Hanoi)
  • 7+ years of legal experience, preferably gained within a reputable law firm.
  • Strong M&A and corporate transactional experience.
  • Proven drafting and negotiation capabilities.
  • Excellent client-facing and stakeholder management skills.
  • Fluent English communication skills.
  • Ability to independently manage transactions while working collaboratively within a team.
